Our Role in the Group
Bright Sand Canada conducts the R&D. Bright Sand Inc. holds the IP. Bright Sand Industries builds and deploys every system — designing the components, owning the projects, and supplying everything from kiln cores to AI-integrated plasma reactors.
BSI designs and manufactures every core component — screw-fed induction kilns, plasma reactors, SOFC modules, gas conditioning systems, biochar processing lines, and aqueous solution packaging. Each component is purpose-engineered for its SPV and feedstock.
Each project is structured as a separate Special Purpose Vehicle. BSI develops these projects in partnership — bringing the technology, system components, and operational expertise while remaining open to co-development with industrial partners, municipal operators, and investors at the project level.
BSI holds exclusive rights to supply Bright Sand systems to the South Pacific through its partnership with Pacific Environmental Solutions (Tonga) — extending the platform to island nations facing acute plastic, organic waste, and environmental remediation challenges.
BSI supplies CNT systems, pyrolysis retrofit packages, and individual platform modules to third-party operators worldwide — fully independent of Bright Sand SPV participation. Existing waste processors and pyrolysis facilities can add CNT output capability, biochar classification, or SOFC energy recovery to their current operations.

A purpose-designed Bright Sand EcoFresh™ production facility currently in the design phase. When commissioned, it will produce retail-ready biochar, soil amendments, and aqueous solutions for national distribution via Amazon, Walmart, and Home Depot. Will also serve as the Group’s USDA BioPreferred certification hub and EcoFresh™ contract testing centre. BSI designs and builds the facility systems, open to co-development with commercial and investment partners.
Bright Sand is working with NAIT (Northern Alberta Institute of Technology) on formal independent product testing of EcoFresh™ biochar and EnviroGuard™ wood vinegar for oil sands tailings pond remediation. Targeting 95%+ water recovery aligned with Alberta AER Directive 085. BSI supplies all system components to the testing programme.
Converting Detroit auto-sector plastic and tire waste into high-value MWCNT and SWCNT via the patent-pending MAP-PAM hybrid plasma reactor with AI-integrated process control developed by Bright Sand Canada. Lab-proven at 0.52 kg/day. Prototype pathway: 1–5 kg/day. Commercial target: 1–5 t/day for industrial composites, drone & UAV airframes, advanced electronics, and battery electrode applications. Pacific island nations face some of the world’s most acute waste, plastic pollution, and environmental remediation challenges — and the Modular Carbon Platform™ is purpose-built to address them at island scale.
BSI holds exclusive rights to supply and commission Bright Sand Modular Carbon Platform™ systems, EcoFresh™ production lines, and CNT reactor components across the South Pacific region. No third party may deploy Bright Sand technology in the region without BSI involvement.
Our South Pacific partner brings in-region expertise, government relationships, and operational capacity across Tonga, Fiji, Samoa, Vanuatu, and neighbouring Pacific island nations. The partnership combines Bright Sand’s patented technology with on-the-ground Pacific experience and established government procurement relationships.
South Pacific deployments are configured for island-scale feedstocks: agricultural and organic waste, plastic bottles and packaging, coastal marine debris, and sargassum. Output focus: AgriMend™ biochar for Pacific agriculture, AquaGuard™ and TropiMist™ for coastal and public health applications, and clean energy generation for island grids.
Each Pacific deployment creates local skilled employment, reduces landfill reliance, cuts greenhouse gas emissions, and improves agricultural soil quality — aligning with Pacific climate commitments and UN SDG goals. Community-level waste collection programs are supported as part of every deployment model.
Pacific Environmental Solutions is headquartered in the Kingdom of Tonga, providing BSI with a permanent regional presence, direct access to Pacific Island Forum relationships, and government procurement channels across the region.
Exclusive territory covers Tonga, Fiji, Samoa, Vanuatu, Solomon Islands, Papua New Guinea, and neighbouring Pacific Island nations — a combined population of 10M+ facing shared waste and environmental challenges.

Third-Party System Design & Build
Beyond its own SPVs, Bright Sand Industries designs, engineers, and commissions CNT production systems and pyrolysis platforms for third-party industrial clients — delivered as turnkey installations under licence from Bright Sand Inc. In development: modular LNG flare gas conversion units that route wellhead methane into MAP-PAM reactors, producing MWCNT and SWCNT on-site. Not carbon capture — carbon transformation. BSI supplies these turnkey to LNG operators as a standalone revenue-generating unit.
Complete MAP-PAM hybrid plasma reactor systems for third-party operators producing MWCNT and SWCNT from their own plastic or tire waste streams. Delivered as a fully commissioned, turnkey unit with BSI commissioning support and AI process control developed by Bright Sand Canada.
Screw-fed induction rotary kiln systems for third parties processing biomass, plastics, tires, or MSW. Configured as standalone pyrolysis units, retrofit upgrades to existing equipment, or integrated with BSI downstream biochar, EcoFresh™, or CNT modules.

All systems incorporate patented Bright Sand technology. A technology licence is issued by Bright Sand Inc. to the third-party client, covering the specific system type and geography.
BSI engineers the full system to the client’s site specifications — civil, mechanical, electrical, and control systems. Bright Sand Canada provides AI process control and SCADA configuration.
BSI manufactures or sources system components, manages installation, and commissions the facility to operational readiness. Operator training and ongoing technical support included.
Remote monitoring via digital twin, AI-driven process optimisation updates, and preventive maintenance scheduling delivered by BSI and Bright Sand Canada throughout the system’s operational life.

Each system is delivered with full PLC/SCADA control architecture, AI process optimisation software developed by Bright Sand Canada, and commissioning support.
System specifications are configured to client feedstock composition, target CNT grade (MWCNT vs SWCNT), and production volume requirements — from pilot-scale units (0.5–5 kg/day) to commercial installations (1–5+ t/day).

BSI is not only a project developer — we are a commercial system supplier. Existing pyrolysis operators, waste processors, municipal facilities, and industrial sites can source BSI-designed CNT reactor systems, kiln modules, and control architecture as standalone supply agreements, completely independent of any Bright Sand SPV or Group investment.
Operators with existing pyrolysis infrastructure can add MWCNT and SWCNT production capability without replacing their kiln. BSI supplies the MAP-PAM plasma reactor module, Ni-Fe catalyst system, CNT capture and purification equipment, and the AI process control layer — as a bolt-on addition to existing hydrocarbon gas streams.
New-build facilities can source complete BSI Modular Carbon Platform™ systems — from the screw-fed induction kiln core through to the full downstream module set. BSI provides engineering design, component fabrication, commissioning support, and operator training. Systems are sized for site-specific feedstock volumes and output targets.
Operators with existing pyrolysis or CNT equipment can license BSI’s PLC/SCADA architecture, digital twin platform, and AI optimisation layer (RL + LSTM) independently of hardware supply. The control system is hardware-agnostic and can be adapted to existing reactor configurations with minimal integration work.

Ownership Structure
Each project is structured as an independent SPV — ring-fencing risk, protecting IP, and providing clean governance for all partners. BSI brings the technology, systems, and operational capability. Equity structure is developed with partners on a project-by-project basis. Bright Sand Inc. retains all patent and certification rights regardless of SPV equity structure.
All patents and USDA certifications are owned by Bright Sand Inc. regardless of SPV equity or partnership structure. Project partners gain commercial project economics — not ownership of the underlying technology. This ring-fences the Group’s patent portfolio from project-level risk at all times.
Independent SPVs allow co-investors to participate in specific project returns without exposure to other Group entities. Each SPV has its own balance sheet, governance, and exit pathway — clean and straightforward for institutional, municipal, or project-level investors.
BSI leads system design, component supply, and operational commissioning in every project — ensuring consistent technical standards, IP compliance, and quality across all deployments worldwide, while remaining open to co-developing equity structures with the right partners.
Project partners participate in project-level revenue: product sales, energy output, carbon credits, and USDA procurement. 60% gross margin on direct industrial sales and system components. Commercial production facilities target cash-flow positive within 12–18 months of commissioning. Equity structures are negotiated per project.
The Pacific Environmental Solutions partnership operates on an exclusive territorial rights model. BSI supplies systems and components; Pacific Environmental Solutions manages regional operations and customer deployment. Revenue is shared on a supply and royalty basis.
