Bright Sand Inc. owns and protects every patent, certification, and proprietary formulation developed across the Group. Operating companies are licensees. SPV co-investors gain project economics — not patent ownership.
IP Structure
All intellectual property generated across Bright Sand Canada's R&D operations and Bright Sand Industries' engineering programmes is assigned to Bright Sand Inc. — the holding company.
This separation means that the patents, certifications, and trade secrets are structurally isolated from the commercial operations of each SPV. No matter what happens at the project level, the Group's IP foundation remains intact and unencumbered.
When investors participate in Ticonderoga LLC, the EcoFresh Plant, or the Detroit Advanced Materials Division, they receive project-level economics — not equity in the patents. This is by design, and it protects everyone.
Licensing model: BSC and BSI hold royalty-bearing licences from Bright Sand Inc. Third-party operators access the technology at 25% royalty on commercial revenues. Regional exclusive licences are available in select markets.

USDA BioPreferred® Certification
Bright Sand Inc. holds USDA BioPreferred® Application ID 14707 — approved March 26, 2025. All EcoFresh™ liquid products and ArborGen™ Biostimulant are certified 100% biobased per ASTM D6866. This enables Bright Sand products to compete for $500M+ in annual Federal GSA procurement.
The USDA BioPreferred® Program designates products as preferred purchasing choices for Federal agencies. Certified products are eligible for preferential procurement under Executive Order 13693 and the Farm Security and Rural Investment Act.
All EcoFresh™ liquid formulations — derived from the patented wood vinegar pyrolysis platform — qualify. ArborGen™ Biostimulant is certified alongside the full liquid product suite. This places Bright Sand's products in a category accessible to Federal, state, and municipal purchasing programmes worth over $500M annually.
The certification is maintained by Bright Sand Inc. and licensed to Bright Sand Industries Inc. for commercial use across all distribution channels.
Licensing Structure
Bright Sand Inc. licences its technology to operating entities and qualified third parties through a structured framework that protects the core portfolio while enabling commercial deployment at scale.
Bright Sand Canada Inc. and Bright Sand Industries Inc. hold royalty-bearing technology licences from Bright Sand Inc. All R&D and commercial deployments operate under this framework — ensuring the IP holding company retains ownership while operations scale globally.
Qualified industrial partners, municipal operators, and government entities can access Bright Sand technology through regional licensing agreements. Pacific Environmental Solutions (Tonga) holds an exclusive licence for the South Pacific region.
Project co-investors in Ticonderoga LLC, the EcoFresh Plant, the NAIT testing programme, or the Detroit Advanced Materials Division gain project-level economics only. Patent ownership remains with Bright Sand Inc. at all times, unaffected by any project-level event.
